Visual Sound Ascension
Effective date 5 October 2026 • Last updated 5 October 2026
These Website Terms of Use (Terms) govern access to and use of visualsoundascension.org (the Website), operated by Visual Sound Ascension Inc., operating as Visual Sound Ascension (VSA, we, us or our). Please read them before using the Website. If you do not agree to these Terms, you should stop using the Website.
These Terms apply to the informational Website. Separate written agreements and, where applicable, additional terms govern investments, commissioned work, licensing, purchases, accounts and other services. These Terms do not replace those agreements or any rights that applicable law does not allow you to waive.
The Website is intended only for adults who are at least 18 years old and have reached the age of majority where they live. It presents information about VSA’s music-led immersive work, development direction, team and business opportunity. It may include videos, visual concepts, forecasts and descriptions of planned capabilities. Development materials may illustrate a direction that changes over time. They are not a promise that a particular feature, service, release date or commercial result will be delivered.
Submitting an inquiry or requesting a briefing does not create an investment, partnership, agency, employment, licensing or service agreement. Any such relationship requires a separate agreement with the appropriate parties.
Information on the Website is provided for general information. It is not personalized investment, financial, tax or legal advice. The Website is not intended to make an offer to sell securities or a solicitation to buy them. Any actual investment opportunity must be presented and completed through appropriate documentation, eligibility checks and compliance with applicable securities laws.
Certain statements and information on the Website are forward-looking and are inherently subject to significant business, financial, operational, technological, regulatory and other risks and uncertainties. They reflect assumptions and expectations as of the dates identified. Those assumptions may not be validated, and actual outcomes can differ materially.
Relevant uncertainties include financing, music and other rights clearances, production and technology costs, execution, demand, commercial agreements, competition and regulatory requirements. Forecasts and market estimates are not guarantees. A stated raise, valuation or proposed equity figure is subject to the final structure and definitive agreements. Website figures alone do not establish investment terms, currency or a valuation basis.
Do not make an investment decision solely from the Website. Review the applicable documents and obtain independent professional advice suited to your circumstances. We may revise information and are not promising to update every statement, except where applicable law requires an update. Nothing in these Terms limits liability or remedies that cannot lawfully be excluded.
Copyright and other intellectual property rights in the Website and its content belong to VSA or the relevant rights holders, as applicable. This includes text, designs, graphics, videos, music, software, trademarks, performances and other creative material. Display on the Website does not mean VSA owns every underlying right.
You may view the Website and make reasonable copies of informational text that VSA owns or is authorized to license for personal use or internal business evaluation. Retain relevant notices, respect identified third-party terms and do not misrepresent the material. This permission does not authorize extracting or redistributing music, films, artwork or other separately protected material.
Except as expressly permitted or allowed by law, you may not reproduce, modify, commercially exploit, distribute, license or create derivative works from Website content without permission from the appropriate rights holder. No trademark licence or right to use a person’s name, image, likeness or performance is granted by access to the Website.
Respect for human creativity is central to VSA’s work. Sending an inquiry does not transfer ownership of your music, artwork, ideas or other intellectual property to VSA. Any licence, production permission or commercial use of creative work must be addressed through a separate agreement.
Nothing on the Website should be interpreted as representing that VSA owns rights in any third-party music, recording, performance, artwork, trademark, technology or other material except where VSA expressly states that it owns or licenses those rights.
Use the Website lawfully and without interfering with other visitors or its operation. You must not:
If you contact us on behalf of an organization, you must have authority to make the inquiry and provide the information you submit. You are responsible for ensuring that information is accurate to the best of your knowledge and that you are entitled to share it.
Use general inquiry channels to provide a brief description of your interest. Do not submit confidential business information, unreleased creative files, financial credentials or sensitive personal information unless we have agreed on an appropriate process.
A general inquiry does not create a confidentiality agreement. Any separately signed confidentiality agreement remains effective according to its terms. We handle personal information as described in our Privacy Policy and applicable law; this section does not remove those obligations.
We may use an inquiry and accompanying material as reasonably necessary to review and respond to it. These Terms do not grant VSA an unrestricted right to publish, sell or commercially exploit your submissions.
The Website may link to third-party websites or display content through third-party services. Those services have their own terms and privacy practices. We do not control their availability, accuracy, security or operation.
Company names, logos and relationship descriptions should be read in their stated context. Participation in a program, a collaboration, a signed confidentiality agreement or an exploratory discussion does not by itself establish endorsement, investment, exclusivity, a completed commercial agreement or a guaranteed future outcome. Third-party marks remain the property of their respective owners.
We aim to keep the Website useful and accurate, but information may contain errors or become outdated. We may correct content, change features, carry out maintenance or discontinue parts of the Website. To the extent permitted by law, the Website and its content are provided as available, without a guarantee of uninterrupted access, error-free operation or suitability for a particular purpose.
We do not guarantee that every video, link, presentation or development example will remain available. We may restrict access where reasonably necessary to address misuse, protect security, maintain the Website or comply with law.
To the extent permitted by applicable law, VSA and its directors, officers, employees and contractors will not be liable for indirect, incidental, special or consequential losses arising from use of, or inability to use, the informational Website, including lost profits, lost business opportunities or loss of data.
This limitation does not exclude liability for fraud, intentional misconduct, or any other liability that cannot lawfully be excluded. It does not limit non-waivable consumer, privacy, securities or other statutory rights. Any separate agreement governing a transaction or service determines liability for that transaction or service, subject to applicable law.
Our Privacy Policy explains how we handle personal information connected with the Website and related inquiries. Please review it using the Privacy Policy link in the Website footer. These Terms do not replace a separate consent request where one is required for marketing, tracking or another use of personal information.
Subject to any mandatory law that applies to you, these Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario. Disputes relating to these Terms may be brought before the courts of competent jurisdiction located in Toronto, Ontario, except where applicable law gives you the right to use another court or process.
You may contact us to try to resolve a concern informally. Doing so is not a condition of exercising a statutory right, contacting a regulator or seeking urgent relief. These Terms do not require binding arbitration or waive participation in a class proceeding.
We may revise these Terms and post a new effective date. Changes apply prospectively. We will provide additional notice or obtain agreement where required by law. Changes do not amend an existing separate agreement unless its own terms permit that amendment.
If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law. A delay in exercising a right is not a waiver of it. No partnership, agency or joint venture is created by use of the Website.
